Charter and By Laws
Prepared in Inaugural Meeting,
The Villa Future Community (Community) is comprised of all
interested parents, faculty and friends of the Villa Augustina
School who desire to see its mission carried out after the
Religious of Jesus and Mary have relinquished governance of the
school in June of 2008. The Community also received the
endorsement of the Villa Augustina School Board in a publicly
read letter.
- The Community is comprised of the constituents named
above.
- The Community will elect five members to serve as the
Villa Augustina Leadership Transition Team (VALTT).
- Because time is of the essence, the Community shall
empower the VALTT to make those necessary decisions in their
sole discretion and according to their by-laws in order to
move the process of negotiation and transition along. The
VALTT will also be responsible to organize meetings of the
Community to keep the Community informed of the transition
progress and provide a forum for discussion and voting.
- Other than those decisions mentioned above, the
Community shall have a vote on the final structure of the
transition.
- A Quorum will be all members of the Community in
attendance at a meeting that was at a minimum, publicized as
to time and place, on the Villa Future website at least 48
hours prior to the meeting.
- All motions put forth by the Community shall be approved
by a simple majority vote signaled by a signaling “ay” or
“nay”.
- In extreme circumstances, members of the Community
reserve the right to call for a vote by secret ballot.
- Minutes of meetings will be kept by a designee appointed
by the VALTT, approved at the following meeting of the VALTT
and made available to members of the Villa Community. As a
rule, copies will not automatically be distributed unless
requested.
- Once the Villa Augustina’s future is secured legally and
financially, the Community shall elect a new Board of
Trustees to govern Villa Augustina School or its’ successor
organization, consistent with the Transition Agreement.
